JoomPro Terms
Please read these JoomPro Terms (“Terms”) carefully before you continue using the shipment and agency services offered by SIA Joom (“Services”) at the website available at https://joom.pro (the “Website”). These terms set out the legally binding terms and conditions for your (“You”, “you”, “Merchant” or “merchant”) use of all Services provided by SIA Joom (“Joom”) including any services provided by any of Joom’s associated companies or other subcontractors (such associates or other subcontractors being “Joom Subcontractors”).
In particular, but without limitation, these legally binding Terms require you to use Joom or Joom Subcontractors chosen by Joom for the shipment of items and regulate other shipment requirements. By using the Services, you agree to be bound by these Terms.
By agreeing to these Terms, you undertake to follow any requirements applicable to the shipment of items, including any requirements and restrictions as to weight and size of items to be shipped, labels, packages and other requirements and restrictions that are notified to you by Joom from time to time.
Delivery of ordered items to customers in due time and manner is of significant importance and a high priority for Joom. For this purpose, you hereby undertake to follow any applicable rules and observe any restrictions provided in these Terms in order to ensure shipment of the ordered items to final customers.
1. Shipment and Agency Services
1. You are required to ship any items, that are chosen by a buyer using the Website (a “Buyer”) and that are approved by you for sale to that Buyer (the “Goods”) (excluding items which do not meet the requirements specified in these Terms) via Joom or a Joom Subcontractor and You hereby agree for Joom to deliver such Goods at such address as Joom may notify to you from time to time for buyers in the applicable country.
Each order accepted by Merchant (an “Order”) shall be confirmed by the Merchant together with the Goods for delivery using the Personal Account form in the order forms used by Joom from time to time. (the “Order Forms”). Such Order Forms shall be treated as appendixes to these Terms and each confirmation shall include the following details:
- Items images,
- Name of Goods,
- Amount and weight and dimensions of Goods,
- Terms of shipment,
- Goods price (payable to you),
- Delivery price,
- Agency fee (JoomPro Take Rate Amount),
- Total Goods price (payable by the Buyer, that includes Goods price and delivery price). This total price shall include all customs and other taxes and you shall be responsible for paying those.
2. Joom acts as a commercial agent of a Merchant within the scope of powers, rights and authorities set in these Terms, including the powers and rights to negotiate and conclude transactions between Merchants and Buyers on the Website, influence the final price, ensure the delivery of Items sold via the Website, prepare documents for such Items, and (at Joom’s sole discretion) assist Merchants in the receipt and processing of the Buyer’s quality claims.
Joom, as a commercial agent of Merchant, acts in Merchant’s name and at Merchant’s expense. Joom does not act as a commercial agent for the Buyers.
You hereby appoint Joom to act as your commercial agent to seek, negotiate and enter into supply contracts on your behalf for the sale of some or all of the Goods to third parties at the prices shown above. Joom will act as your commercial agent and seek to enter into contracts for the international sale of any or all of the Goods to a Buyer(s) of such Goods on your behalf and at your expense. Despite the fact that each such international sale of Goods will be signed by Joom, You are fully responsible for the quality of the Goods, any guarantee obligations (including replacement of the Goods), any necessary refunds (for example if the wrong quantity is supplied, the Goods are of poor quality, or do not comply with any applicable law or any other breaches of contract with the Buyer) and will hold Joom and each Joom Subcontractor harmless against any losses, damages, costs, expenses (including reasonable legal fees) and liabilities which Joom or any Joom Subcontractor may incur as the result of or in connection with any suit, claim, proceeding or complaint by any Buyer or third party in respect of any Goods (except for claims caused by Joom’s or any Joom Subcontractor’s own gross misconduct or wilful default).
You guarantee that the Goods will comply with all relevant technical requirements. The quality of the Goods shall be confirmed by the certificates of quality and/or declarations of conformity for the Goods issued by You (if applicable).
Joom reserves the right to make a product check before sending any Goods to the Buyer. In the event of any lack of conformity to the conditions stated in these Terms, Joom has the right to require You to replace the consignment in whole or in part OR to claim a refund of any such monies already paid to You. Without prejudice to any other rights that Joom may have for any lack of conformity, you shall replace, or refund the cost of, any Goods if requested by Joom within 10 days of any such request by Joom. All of Joom’s expenses incurred in connection with any such replacement shall be reimbursed at your expense within 10 days.
The warranty period for any Goods shall be 2 months from the date of final delivery to the relevant Buyer, or such other period as may apply under the terms of the applicable Order or (if longer) such other period as may apply under any applicable law. In the event that any Goods supplied to a Buyer are defective, and unless otherwise agreed, the warranty period of the Goods will be extended by the amount of time that any such Goods could not be used by the Buyer due to such defect.
Any return of any Goods by a Buyer in accordance with the warranty or sale agreement or within 14 calendar days after the item’s receipt by such Buyer must be free of charge for the Buyer and shall be done at Your expense. You are obliged to provide all necessary details for return shipping by the Buyer and You shall be liable for any losses caused by failure to meet these requirements. In particular, but without limitation, Joom may return any items that do not include any such details to you, at your expense.
You agree to make any refund within 10 days from the date of receipt of the relevant request by transferring funds to the bank account of Joom as per the details in these Terms. Alternatively, Joom may (at its own option) make a deduction from any amounts payable to You for any Goods in settlement or part settlement of any obligations that you may have under these Terms.
Buyer’s payment obligation to Merchant shall be deemed as performed upon receipt of buyer’s payment by Joom (or its payment services provider, as applicable), and Joom (via its payment services provider, as applicable) is responsible for remitting the funds to Merchants in the manner described in Joom’s and Merchant’s agreement with payment services provider. If Joom (via payment services provider) does not remit any such amounts to Merchant, Merchant will have recourse only against Joom (its payment services provider, as applicable) and not the buyer directly.
You will receive payment for the Goods in any Order from Joom as follows:
- 30% of the price for those Goods as a pre-payment prior within 5 (five) days after receiving payment from the relevant Buyer,
- another 70% of the price for those Goods shall be paid within 3 (three) days after the Goods pickup and confirmation of the Goods quality by JL before shipment to the Buyer.
If Goods are delivered with some violation of the quality, quantity or assortment of Goods, Joom may delay payment for the period of verification of the reasons for the occurrence of such a violation. In the event that the Goods are confirmed to be defective then You must follow the procedure set out above.
Joom is entitled to deduct its fees for any Services from any amounts payable to You. in accordance with the fee rates notified to you from time to time.
You are obliged to complete the manufacture and packaging of the Goods and to ensure that they are ready for shipment within 10 (ten) days from the date of receipt of Buyers’ payment confirmation from Joom, unless agreed otherwise. You should inform Joom promptly once the Goods have been manufactured. Joom shall then arrange for the Goods to be collected from your warehouse and you will ensure that they are available for such collection at all reasonable times.
Merchant hereby authorizes Joom to:
- Collect, process and disclose to PSP in connection with PSP payment services all necessary information on Merchant, its transactions that have been concluded on the Website with buyers.
- Open accounts for the purpose of providing payment services by PSP to Merchant and send instructions to PSP to deduct the funds in these accounts to repay the amounts owed by Merchant to Joom under these Terms and credit any amount into such account as determined by Joom in accordance with these Terms.
- Instruct PSP to freeze, unfreeze, credit, remit or debit the Merchant’s account with PSP.
- Choose the delivery basis in accordance with the INCOTERMS 2010 for the Goods and choose the delivery partner and delivery method correspondingly.
- Merchant may withdraw the authorization given under clauses 1 a-d of this Terms by giving fourteen days’ prior written notice to Joom and PSP. The withdrawal of authorization shall be deemed effective upon expiration of the notice period stipulated in this clause and shall not have retroactive effect, i.e. it shall not apply to the transaction and/or activities of the Merchant and/or Joom and/or PSP occurred prior to the expiration of the notice period set out in this clause.
- Merchant shall ensure that account balance with PSP has sufficient balance for payments of funds owed to Joom. You are responsible for paying all fees and applicable taxes associated with using the Website and selling Goods on the Website.
2. Prohibited and Restricted Items
You must follow all rules and restrictions of all logistics companies and national post offices nominated by Joom and comply with all applicable laws and regulations of places of shipment, transition and destination. Such rules and restrictions include, without limitation, any requirements or prohibitions of the country of destination in relation to items shipped to the country of destination and/or which cannot be legally sold or used in the country of destination, including any amendments or changes which may be introduced by any relevant authorities in the future. You hereby undertake not to ship any such prohibited items via Joom and to ensure that the Goods comply with all such restrictions.
The following items cannot be shipped by Joom in any case:
- Items which are specified as prohibited by Joom via e-mail or in any other way,
- Items, that cannot be shipped to the country of destination according to the laws and regulations of such country.
- Drugs, and items related with drug use.
- Dangerous chemicals.
- Items from/to/mentioning sanctioned countries (Cuba, Iran, North Korea, Syria, Sudan), entities, and individuals.
- Items the content, external form, transportation or storage of which violates a statutory prohibition or a prohibition by a public authority, in particular — but without limitation — regulations regarding the export, import or customs law of the countries of origin, destination or transit, or goods for which special equipment (e. g. for temperature-controlled goods), safety precautions or authorizations are required.
- Items the content of which violates any intellectual property rights of a third party, including forged, counterfeit or unlicensed copies of items (brand and trademark piracy).
- Items containing live animals or human remains.
- Weapons, especially firearms, or parts thereof, limitation weapons or ammunition.
- Items which contain obscene or pornographic articles.
hereby undertake to observe such restrictions as well as undertake not to send any prohibited items.
You agree that Joom shall have the unrestricted right and power, which may be exercised in its sole and absolute discretion at any time and from time to time, to determine whether to decline shipping for any reason it may find justified.
If any of the above-mentioned items appear in the warehouse of any company which is responsible for package pick-up services in the country of dispatch of items or of any logistic company responsible for shipment and delivery of them, such items may be returned to you at your own expense or destroyed without prior notification to you and without refund and/or compensation of any kind (if return is not possible due to operational restrictions of Joom or a particular logistic company). In any case you hereby undertake to provide Joom with any necessary assistance in order to cure the breach and agree to take immediate actions required by Joom and/or its logistic partners.
You hereby also undertake to fully indemnify and hold Joom and each Joom Subcontractor harmless against any losses, damages, costs, expenses (including reasonable legal fees) and liabilities which Joom or any Joom Subcontractor may incur as the result of or in connection with any suit, claim, proceeding or complaint caused by breach of any law, regulation or restrictions of the country of destination regarding selling or shipment of prohibited items.
3. Requirements for Shipment
Items which can be shipped via Joom must satisfy any requirements to weight and size of items, which may vary depending on countries of destination and means of transportation, as notified by Joom from time to time.
In case of shipment via Joom of any Goods that do not satisfy such requirements, Joom shall have the unrestricted right and power, which may be exercised in its sole and absolute discretion at any time, to determine whether to decline shipment of such Goods.
You hereby undertake to provide full and correct data related to the Goods and confirm that shipped items are fully compliant with the data provided to Joom prior to shipment.
4. Shipping Methods and Service Fees
The shipping method will be automatically determined by the Joom system. Merchants shall not manually choose shipping methods for Joom.
The Fees which You shall pay for using of each of the shipping methods are calculated based on the weight of the Goods to be shipped and their price. Information on such fees and the method of their calculation can be requested via e-mail and shall be included in Joom’s invoices from time to time.
The Service fee for delivery of any Goods and the applicable Agency fees of Joom shall be included in the Order details included by the Merchant on the Personal Account form that is part of the Order Forms. The Service fee shall be included in US Dollars. Such fees shall be calculated in accordance with Joom’s standard rates from time to time unless otherwise agreed between Joom and the Merchant, provided that the Service fee for delivery of any Goods may be changed by Joom unilaterally if it incurs unforeseen expenses in delivering the Goods. In such event the applicable Order shall be amended to include the new Service fee for delivery of the Goods.
The Service and agency fees shall be payable as follows: Joom will deduct such fees from any amounts payable by a Buyer in accordance with an Order or any other amounts payable to You.
5. Shipping details
Goods must show or be supplied with the “shipping weight” and other information, mentioned in the section 1 of these Terms. You must provide the exact information for the package while providing shipping information.
Any difference between the information given by the Merchant and the factual shipping information of the package shall not be more than those specified as acceptable by Joom via e-mail or as otherwise instructed by Joom. Inaccurate information may lead to additional logistics costs and extension in the delivery period, and in some cases, failure of delivery. In addition to that, Joom reserves the right to withhold any losses and amounts of compensation from the amount payable to you under these Terms.
6. Limitation of Liability
To the maximum extent permitted by law, Joom hereby expressly disclaims any and all warranties, express or implied, in respect of the Services including but not limited, to, any warranties of condition, quality, durability, performance, accuracy, reliability, merchantability or fitness for a particular purpose. All such warranties, representations, conditions, and undertakings are hereby excluded.
To the maximum extent permitted by law, Joom makes no representations or warranties about the validity, accuracy, correctness, reliability, quality, stability, completeness or correctness of any information provided by it and does not give any representation or warranty that it will find any Buyer for any Goods or that such Buyer will pay the price for those Goods; Joom does not represent or warrant that the manufacture, importation, export, distribution, offer, display, purchase, sale and/or use of items or services offered by it does not violate an third party rights; and Joom makes no representations or warranties of any kind concerning any item or service offered by it.
Under no circumstances shall the entire liability of Joom to the Merchant under these Terms with respect to any subject matter of these Terms under any contract, negligence, strict liability of other legal or equitable theory, exceed the amount paid by Joom under these Terms in the twelve months preceding the occurrence of facts that first give rise to any liability hereunder preceding the occurrence of facts that first give rise to any liability hereunder. The existence of more than one claim or event from which liability arises will not enlarge this aggregate limitation (but only to the extent that liability cannot be limited — for example any liability for death or personal injury caused by Joom).
In addition to that, Joom reserves the right to withhold any amounts of compensations, penalties or any other kind of losses suffered due to your mistakes, inaccurate information, actions or omissions from the amount payable to you under these Terms or the Terms of Service applicable to you. If the amount payable is insufficient for coverage of such losses, Joom may request you to pay out any such outstanding amounts to compensate the outstanding amounts within 14 calendar days from the receipt of the relevant request. The request sent by email shall be considered as received by you on the day after the day the request is sent.
7. Force Majeure
Under no circumstances shall Joom be held liable for any delay or failure of shipping resulting directly or indirectly from acts of nature, forces or causes beyond our reasonable control, including without limitation, internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, flood, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals or non-performance of third parties.
8. Governing Law
These Terms shall in all respects be interpreted and governed by the laws of England and Wales.
9. Dispute Resolution
Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the LCIA Rules, which Rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be London. The language to be used in the arbitral proceedings shall be English.
10. Miscellaneous
The headings contained in these Terms are for the convenience of the parties and for reference purposes only and shall not affect in any way the meaning or interpretation of these Terms.
